16. Acceptance of Terms 

By registering, paying, and participating in any WPH Academy workshop, the participant acknowledge that they have read, understood, and agreed to be bound by these Terms and Conditions in full. 

Terms and Conditions

1. Company & Legal Identity 

This Terms and Conditions Agreement ("Agreement") is issued by BUSINESS NAME, a duly organized and existing company/corporation with its principal place of business in ADDRESS. These Terms apply to all training workshops, whether delivered online or facetoface, organized and conducted by WPH Academy. 

2. Workshop Type, Delivery, and Modifications 

WPH Academy offers professional training workshops delivered through online and facetoface formats. Workshop duration varies depending on the program and may range from one (1) day to multiple days (including but not limited to 7day, 9day, or 11day workshops). 

WPH Academy reserves the right, at its discretion, to: 

  • Modify workshop schedules, session timings, or delivery format; 

  • Substitute or replace instructors or facilitators; and 

  • Adjust course content where reasonably necessary to maintain quality or relevance. 

Such changes shall not entitle participants to a refund, provided that the overall learning objectives of the workshop are substantially delivered. 

All workshops are conducted only upon reaching the required minimum number of participants. 

3. Minimum Number of Participants 

Each workshop requires a minimum participants to proceed. 

If the minimum number is not met, WPH Academy may reschedule the workshop.

 

Registered participants will be notified and given the option to: 

  • Confirm participation in the rescheduled workshop (seat shall remain reserved), or 

  • Decline participation, in which case a full refund (Section 5.2)  of fees paid shall be issued. 

4. Pricing, Registration, Eligibility, and Taxes

All paid workshops offered by WPH Academy follow the payment and registration structure outlined below:

4.1. Pricing and Payment Terms 

  • Full payment (100%) of the published course fee is required upon registration to confirm and reserve a participant’s seat. 

  • Registration shall not be considered confirmed until full payment has been successfully received by WPH Academy. 

  • Payment of the course fee does not automatically entitle the participant to a refund, whether partial or full. Any refund, if applicable, shall be strictly subject to and governed by WPH Academy’s cancellation, rescheduling, and refund policies under Section 5. 

  • Failure to complete full payment shall result in non-confirmation or automatic cancellation of the registration without refund. 

Registrations are personal to the registered participant and may not be transferred, assigned, or shared except through an approved participant substitution in accordance with Section 5.3 of these Terms and Conditions. 

4.2. Eligibility and Registration Criteria

Participation in WPH Academy workshops is subject to the following eligibility requirements: 

  • Participants must be at least eighteen (18) years of age, unless otherwise specified for a particular workshop. 

  • Participants are expected to possess the basic educational background, professional experience, or prerequisite knowledge reasonably required for the workshop, as indicated in the workshop description. 

  • WPH Academy reserves the right to decline, suspend, or cancel a registration if a participant does not meet the stated requirements or if their participation may negatively affect the learning environment or delivery of the workshop. 

5. Cancellation and Rescheduling

5.1 Cancellation by Participant 

Participants may cancel their registration by providing email notice to WPH Academy, subject to the following conditions: 

  • Cancellations submitted at least fifteen (15) calendar days before the official start date of the workshop. The participant shall be entitled to a partial refund equivalent to fifty percent (50%) of the total workshop fee, with the remaining fifty percent (50%) being non-refundable. 

  • Cancellations submitted less than fifteen (15) calendar days before the workshop start date, or failure to attend the workshop for any reason. No refund shall be issued, whether partial or full. 

All cancellations must be submitted through emailreceived and acknowledged by WPH Academy within the applicable notice period to be considered valid. 

5.2 Cancellation or Rescheduling by WPH Academy 

If WPH Academy cancels or reschedules a workshop due to operational, logistical, or unforeseen circumstances, participants shall be offered the option to: 

  • Transfer or rebook to another available workshop schedule; or 

  • Receive a full refund of all fees paid. 

Refunds, where applicable, shall be processed using the original payment method and are subject to standard banking or payment processor timelines. 

5.3 Transfer to Another Participant (Substitute) 

Participants may nominate a substitute attendee to take their place in a registered workshop, subject to the following conditions: 

  • The substitute must meet the same eligibility requirements as the original participant (age, background, and any workshop prerequisites). 

  • WPH Academy must be notified in writing at least seven (7) calendar days before the workshop start date, including the substitute’s full name, contact details, and any required documentation. 

  • Substitutions are generally not subject to additional fees, unless otherwise stated. 

  • The original participant remains responsible for any outstanding fees if the substitution is not properly confirmed by WPH Academy. 

WPH Academy reserves the right to decline any substitute who does not meet the workshop’s eligibility criteria. 

6. Training Materials, Intellectual Property, and Confidentiality 

All training materials, including but not limited to slides, documents, videos, recordings, demonstrations, methodologies, exercises, and other learning resources, are owned exclusively by WPH Academy and are protected by applicable intellectual property laws. 

Participants may: 

  • Use training materials solely for personal learning purposes

  • Participants shall not: 

    • Share, reproduce, distribute, sell, publish, record, or transmit any training materials or session content; 

    • Use the materials for teaching, training, commercial, or instructional purposes; 

    • Disclose confidential discussions, demonstrations, or proprietary methodologies presented during the workshop. 

Any unauthorized use constitutes a violation of intellectual property rights and may result in legal action. 

6.1 Learning Management System (LMS) Access 

WPH Academy provides registered participants with access to its Learning Management System (LMS) for the purpose of accessing workshop materials, recordings (if applicable), and related resources. 

  • LMS access and individual participant accounts shall be active during the workshop period and for a maximum of seven (7) calendar days after the final day of the workshop. 

  • After this access period, LMS accounts may be suspended, restricted, or permanently deactivated without further notice. 

  • Participants are responsible for downloading or reviewing materials within the allowed access period. 

  • Extensions of LMS access, if any, shall be at the sole discretion of WPH Academy and may be subject to additional fees. 

Loss of LMS access after the stated period shall not entitle the participant to any refund, credit, or compensation. 

7. Recording, Photography, and Use of Likeness 

Workshops, including both online and face-to-face sessions, may be recorded, photographed, or otherwise documented for purposes including, but not limited to, quality assurance, internal use, educational, marketing, and promotional activities. 

By participating in a WPH Academy workshop, participants grant WPH Academy the right to: 

  • Record sessions that may include their voice, image, name, audio, video, or participation; and 

  • Use such recordings, photographs, or excerpts for internal, documentation, marketing, and promotional purposes, including but not limited to websites, social media platforms, presentations, brochures, advertisements, and other promotional materials. 

Participants shall not record, photograph, screenshot, or otherwise capture any part of the workshop without prior written consent from WPH Academy. 

8. Data Privacy and Personal Information Protection 

WPH Academy is committed to protecting the privacy and personal data of its participants in accordance with the Data Privacy Act of 2012 (Republic Act No. 10173) and its implementing rules and regulations. 

By registering for and participating in a WPH Academy workshop, participants consent to the collection, processing, storage, and use of their personal information, including but not limited to names, contact details, professional information, payment records, attendance data, images, audio, video recordings, and LMS activity, for purposes that include: 

  • Workshop registration, administration, and delivery; 

  • Account creation and access management for the Learning Management System (LMS); 

  • Issuance of certificates and record-keeping; 

  • Quality assurance, internal reporting, and compliance; 

  • Marketing and promotional activities, where applicable. 

WPH Academy shall implement reasonable organizational, physical, and technical security measures to protect personal data against unauthorized access, disclosure, alteration, loss, or destruction. 

Participant personal data shall be retained only for as long as necessary to fulfill the purposes stated above or as required by applicable laws and regulations. 

Participants have the right to access, correct, and request deletion of their personal data, subject to legal and contractual obligations. Requests related to personal data may be submitted to WPH Academy through its official communication channels. 

WPH Academy shall not sell or unlawfully disclose personal data to third parties and shall only share such data with service providers or partners when necessary for workshop delivery, system operations, or legal compliance. 

9. Certificates and Attendance Requirements 

WPH Academy issues Certificates of Attendance and/or Certificates of Completion, depending on the nature of the workshop. 

To qualify for the issuance of a certificate, participants must: 

  • Attend at least the minimum required attendance percentage, as specified for the workshop (no less than eighty percent (80%) attendance); and 

  • Actively participate in required sessions, activities associated with the workshop. 

Attendance implies meaningful participation in scheduled sessions. Payment alone does not guarantee issuance of a certificate

Participants who fail to meet the required attendance percentage, fail to complete the workshop, or fail to meaningfully participate shall not be entitled to any certificate, regardless of payment status. 

10. Participant Conduct

Participants are expected to maintain professional and respectful behavior at all times toward instructors, staff, fellow participants, and platforms used during the workshop. 

WPH Academy reserves the right to remove any participant who engages in disruptive, abusive, unethical, or unprofessional conduct. Removal shall be without refund and without further obligation on the part of WPH Academy.

11. Liability, Disclaimers, and Limitation of Liability 

WPH Academy provides training for educational and professional development purposes only and does not guarantee any specific results, including but not limited to: 

  • Job placement, employment outcomes, promotions, or career advancement. 

  • Certification issuance where attendance or completion requirements are not satisfied. 

  • Business growth, profitability, revenue increase, or overall business success. 

Any actions, business decisions, or outcomes resulting from the application of skills, knowledge, tools, or advice gained during the workshop are the sole responsibility of the participant. 

Participants are solely responsible for their own devices, software, internet connectivity, and learning environment. WPH Academy shall not be liable for: 

  • Technical issues arising from participant-owned equipment or internet access. 

  • Loss, damage, or malfunction of participant devices. 

  • Any direct or indirect loss arising from the use or misuse of training content. 

To the fullest extent permitted by law, WPH Academy’s total liability, if any, shall be strictly limited to the total fees actually paid by the participant for the relevant workshop. 

12. Indemnification  

Participants agree to indemnify and hold harmless WPH Academy, WPH Digital, its related companies, and their officers, employees, instructors, and representatives from any claims, damages, losses, or liabilities arising from: 

  • Misuse of training materials; 

  • Violation of these Terms; 

  • Unlawful or improper application of skills learned during the workshop. 

13. Force Majeure

WPH Academy shall not be held liable for failure or delay in performance caused by events beyond its reasonable control, including but not limited to; natural disasters, typhoons, power outages, government actions, public health emergencies, platform failures, or instructor unavailability. 

In such cases, WPH Academy may reschedule the workshop or offer reasonable alternatives without liability. 

14. Governing Law and Jurisdiction 

This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes shall fall under the exclusive jurisdiction of the appropriate courts of the Philippines. 

15. Severability and Entire Agreement 

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 

This Agreement constitutes the entire agreement between WPH Academy and the participant and supersedes all prior communications or representations.
